Vitória SC summons AG to vote SAD stock sale to V Sports

The members of Vitória SC will vote to transmit 17% of the capital of SAD to V Sports, to restore a 46% stake in AG scheduled for October 30.

Ovitória SC members will vote on the transmission to V Sports of shares representing 17% of the capital of SAD, to restore a 46% participation in General Assembly (AG) scheduled today for October 30.

 

The president of the General Assembly (MAG) of Vitória SC, Luís Filipe de Almeida e Silva, today called an extraordinary meeting for October 30, 2026, at 8:00 p.m., in the Vimaranense Unit Pavilion, in the Club Sports Complex.

On the agenda are the “presentation, discussion and voting of the proposal for transmission to V Sports of shares held by Vitória Sport Clube, representing 17% of the social capital of Vitória Sport Clube – Football, SAD, in order to restore the participation of 46% approved in the General Assembly of March 3, 2023” and the corresponding authorization to change the social pact of society.

Following the convening of an extraordinary AG, the marking of clearing sessions open to members of the club will be announced next Tuesday, according to the club minhoto.

“ The clarification sessions promoted by the director will be a space for providing information and consulting documents, open to dialogue, so that members can make an informed decision on October 30, 2026”, reads a note published on the website of Vitória SC on the Internet.

On March 3, 2023, the members of the club vimaranense approved the sale of 46% of SAD shares to the fund V Sports for EUR 5.5 million in extraordinary AG.

Among the approximately 1,400 members who attended the Vimaranian Sports Pavilion Unit, 966 voted in favour of the pre-agreement, 136 voted against and the rest abstained.

The agreement with V Sports, a fund held by the Egyptian multimillionaire Nassef Sawiris, also one of the owners of Aston Villa, the Premier League, provided for the sale of 46% of SAD, a donation of two million euros for infrastructure and a credit line of up to 20 million, with interest of 5.5%.

With the decision taken, Vitória came to hold 50.84% of the capital, with the remaining shareholders, besides V Sports, with 3.16%.

The SAD of Vitória SC was formed on April 10, 2013, with Mário Ferreira, a Portuguese businessman based in South Africa, as a majority shareholder, and the club with 40% of the capital, although with some special rights, such as vetoing changes to the SAD statutes.

On October 1, 2021, the emblem vimaranense announced the purchase of the shares held by MAF, Mário Ferreira, corresponding to 56.4% of the share capital, for 6.5 million euros, which would allow him to be held by 96.4% of the capital.
