O 17% sale agreement of the SAD of Vitória de Guimarães to the fund V Sports contemplates the entry of €3.8 million (ME) into society, the Portuguese football club reported today.
Through a publication on the official website and a clarification session held today before members, to which Lusa attended, the administration of SAD minhota clarified that this is the value involved in the operation, if the members of the club approve the transmission of the shares in the extraordinary General Assembly (AG) scheduled for October 30.
The transmission of this percentage aims at restoring the 46% stake that the Aston Villa fund, emblem of the Premier League, had in the Victorian D.A.S. between March 3 and June 29, 2023, the day on which the Victorians confirmed the reduction of this participation to 29%, to “comply with all UEFA determinations”.
The agreement initially established between the club Vimaranense and the fund then held by the multimillionaires Nassef Sawiris and Wes Edens provided for the purchase of 46% of the shares by 5.5 ME and a donation of two ME for infrastructure, suspended after the reduction from 46% to 29%, which did not violate the rule of multi-ownership of UEFA clubs.
The 17% share capital transmission, to be approved on October 30, provides for the return of these two MEs to the club, which will convert this amount into SAD capital.
To keep up with the club's efforts, whose participation can decrease from 67.84 to 50.84%, the V Sports fund commits to apply 1.8 ME as the holder of 46% of the shares.
Vitória de Guimarães further clarifies that the 3.8 ME aimed at reducing existing debt – total liabilities exceeded 85 ME and net liabilities exceeded 57 ME at the end of the period 2025/26.
The agreement between the club minhoto and fund V Sports also provides for a commitment to develop, within 60 working days, “a debt restructuring plan”, between 20 ME and 30 ME.
The 17% portion of the share capital whose transmission will be voted on October 30 will be subject to the creation of a ‘blind trust’, a legal figure to manage this capital by an independent entity, which exercises the right to vote without receiving instructions from the owner, to avoid possible conflicts of interest between Vitoria and V Sports and ensure compliance with the rule of multiownership of UEFA clubs.
If the 17% transmission of the shares to V Sports is failed on October 30, Victorian President Rui Rodrigues admitted that the club will have to look for “another partner” for SAD.
The SAD of Vitória de Guimarães was formed on April 10, 2013, with Mário Ferreira, a Portuguese businessman based in South Africa, as a majority shareholder, and the club with 40% of the capital, although with some special rights, such as vetoing changes to the SAD statutes.
On October 1, 2021, the Vimaranense emblem announced the purchase of shares held by MAF, Mário Ferreira, corresponding to 56.4% of the share capital, by 6.5 ME, which would allow him to be held by 96.4% of the capital.
