According to a statement from the operator, the offer will combine a capital increase with the issuance of new shares, amounting to approximately EUR 150 million, and the sale of existing securities by the current single shareholder, Digi Romania, which, after the operation, will maintain at least 75% of the capital and control by the multinational.
In this way, the company expects to raise EUR 136 million net with the operation, funds that will target the expansion of the fibre network and the deployment of the mobile network itself.
Digi’s shareholders’ own funds are valued at EUR 1,700 million.
The stock exchange is supported by Global Portfolio Investments, the investment company of the Domínguez de la Maza family (Mayoral Group), which signed a binding commitment to invest EUR 100 million.
The offer will include a usual overallocation option of up to 15% of the initial offer volume.
This operation, aimed at qualified investors, will include Barclays, UBS and Banco Santander as global coordinators and with BNP Paribas and Citi as senior placers.
BBVA, Caixabank and ING complete the banking and insurance consortium, while Rothschild & Co is a financial consultant.
The company had already announced on 19 November 2025 that it was considering the possibility of opening up the capital of a part of the Spanish subsidiary, but without losing control of the business.
In April, it decided to postpone the stock exchange entry of the subsidiary in Spain due to the “installability” of the market, despite the “very positive” response received from investors in the preliminary negotiations.
Digi's decision to postpone entry into the stock exchange came at a time of high volatility in the markets due to the war in Iran, following the attacks launched on 28 February by the United States of America (USA) and Israel, and the impact that the conflict is having on oil prices and the blockade of the Ormuz Strait.
